LEGAL

Terms.

vote.direct is operated by Syft8, Inc. and is 100% owned by its founder, Oday Brahem, with no outside investors. Who owns a voting platform is worth knowing before you trust it with an election, so this one is on the record: the person who owns the company is the person who builds the software and answers (512) 222-8191.

The full agreement is the Syft8 terms of service published at vote.direct/terms. governance.center runs on the same platform as vote.direct, so one agreement covers both and carries its own effective date, the warranty and liability limits, the arbitration terms and the governing law. What follows is the part a board reads before it votes to buy. Where the two differ, the linked agreement is the one that counts.

What the service is, and what it is not

We provide software for rosters, announcements, meetings, quorum, minutes, documents, dues records, member portals and verified decisions. We are not your board, your inspector of elections, your attorney or your statutory records custodian, unless a separate written services agreement says otherwise. Buying the software does not make anybody here an officer of your organization.

Your organization is responsible for its own governance

Notice, eligibility, quorum, record retention, accessibility, consent and election requirements come from your governing documents and your state law, and complying with them is your organization’s job. Nothing on this site or in this product is legal advice, and we never tell a board that it is compliant. Have your attorney confirm anything legally significant before the board acts on it.

Annual plans, and how you stop one

Plans are billed annually by member capacity. Paid access starts when checkout completes, and there is no free trial. Your plan renews once a year, and you get a plain email 30 days before it does with a link that stops the renewal without signing in. If the board is not using the product after 60 days, ask and we refund the year. We may change future prices with at least 30 days of notice.

A lapsed plan goes read only, never dark

If a plan lapses, the workspace stops accepting new work and your records stay readable to your members. We do not hold a community’s governance record hostage to an invoice. Before you leave for good, export what your organization has to keep.

Messaging and member data

If you load contact details and send email, you are telling us you have the authority and the consent to reach those people. Message and data rates may apply where texting is available. You keep the rights in what you load; we get the limited rights needed to host it, process it and show it to the members you publish it to.

Acceptable use

Do not use this to break the law, to impersonate a member, to submit false verification information, to probe or bypass the verification controls, to reach another organization’s workspace, or to publish a result stripped of the context that makes it meaningful, such as eligibility, turnout, dates or the verification method used.

A question about the terms

Write to us and start the message with "Legal" so it reaches the right place, or call (512) 222-8191. If your board needs something changed before it will approve the purchase, say so. That conversation is normal.
