Terms of Service
Effective July 26, 2026
These terms govern your use of governance.center and the Governance Center workspace, operated by Syft8, Inc., a Delaware corporation. By using the service, you agree to these terms.
The service
Governance Center provides software for member rosters, announcements, meetings, quorum, documents, community portals, and verified decisions. We provide technology infrastructure; we do not act as your board, election inspector, lawyer, or statutory records custodian unless a separate written services agreement says otherwise.
Accounts and organization authority
- You must provide accurate account information and keep credentials secure.
- You must have authority to create and administer the organization workspace.
- You are responsible for users, member data, roles, and settings in your workspace.
- You must promptly notify us of suspected unauthorized access.
Governance responsibilities
Your organization is responsible for complying with its governing documents and applicable law, including notice, eligibility, quorum, record-retention, accessibility, consent, and election requirements. Features and research content are not legal advice. Consult qualified counsel for legally significant actions.
Acceptable use
You may not use the service to:
- Break the law, infringe rights, harass people, or distribute malware or spam.
- Impersonate another person or submit false verification information.
- Manipulate, bypass, probe, or disrupt security and verification controls.
- Access another organization's accounts or information without authorization.
- Misrepresent results or omit material context such as eligibility, turnout, dates, or verification method.
Messaging and member data
If you upload contact details or send email or SMS, you represent that you have the necessary authority and consent and will follow applicable communications laws. Transactional message frequency varies. Message and data rates may apply. Recipients can use the opt-out instructions in a message where available.
Plans and payment
- Self-managed plans are billed annually based on member capacity.
- Paid access begins when checkout is completed; self-managed plans do not include a free trial.
- Fees, taxes, and renewal dates are shown during checkout and in billing settings.
- We may change future prices with at least 30 days' notice.
- Canceling stops renewal; access continues through the paid period unless stated otherwise.
Your content and our intellectual property
You retain rights in content you provide and grant Syft8 the limited rights needed to host, process, transmit, back up, and display it to provide the service. Syft8 retains all rights in the software, design, documentation, trademarks, and research content, excluding properly attributed third-party material.
Privacy and third-party services
Our Privacy Policy is part of these terms. The service relies on third-party hosting, database, email, SMS, payment, analytics, and optional identity verification providers. Their availability and processing may affect the service.
Suspension, termination, and exports
We may suspend or terminate access for material breach, security risk, nonpayment, or unlawful use. You may stop using the service at any time. Before termination, export records your organization must retain. Provisions that by their nature should survive will remain in effect.
Warranties and liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SYFT8 DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYFT8 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. SYFT8'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF FEES YOU PAID FOR THE SERVICE IN THE PRECEDING 12 MONTHS OR US$50.
Indemnification
You agree to indemnify and hold Syft8 and its personnel harmless from third-party claims, damages, and reasonable costs arising from your content, your organization's governance process, your violation of these terms or law, or your infringement of another party's rights.
Governing law and disputes
Delaware law governs these terms without regard to conflict-of-law rules. Disputes will be resolved by binding individual arbitration administered by the American Arbitration Association, except eligible small-claims matters. Claims may not proceed as a class or representative action. You may opt out of arbitration by submitting written notice through our contact form within 30 days of first accepting these terms. Begin the message with “Arbitration opt-out.”
Changes and general terms
We may update these terms by posting a revised version and will provide additional notice when required. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign these terms without written consent; Syft8 may assign them in connection with a reorganization, financing, merger, or sale.
