MEETING RULES: MICHIGAN

Michigan meeting rules,
between elections.

The meeting rules a Michigan association secretary needs sit in the Nonprofit Corporation Act: 10 to 60 days of written notice for a members meeting, and a board notice period that is whatever your bylaws prescribe.

The Condominium Act adds the records side for condominiums: books open to co-owners at convenient times, a financial statement every year, and an annual audit or review once revenues pass $20,000.

Our reading, to support your review, not legal advice.

Confirm with your attorney before the board acts.

NOTICE

Notice for the annual meeting in Michigan

Days below are counted back from the meeting date. Where the statute sets a ceiling as well as a floor, the notice has to land inside the window, not simply before it.

Incorporated association

Michigan Nonprofit Corporation Act

NoticeThe ruleSection
Meeting of the members10 to 60 days beforeWritten notice of the time, the place if there is one, and the purposes of a members meeting goes to each member of record entitled to vote not less than 10 or more than 60 days before the meeting. An association incorporated as a Michigan nonprofit takes this window from the Nonprofit Corporation Act, and where members may attend remotely the notice also has to describe how.How it travels: Personally, by mail or by electronic transmission. A notice prominently displayed in a periodical the corporation publishes at least twice a year and mails to each voting member also counts.MCL §450.2404(1), (7)

Worked example: a meeting on Dec 1, 2026

  • Meeting of the members: for a meeting on Dec 1, 2026, notice goes out between Oct 2 and Nov 21, 2026.

That is arithmetic on the day counts above, nothing more. Your bylaws may ask for longer, weekends and holidays are not adjusted for, and a date is not a ruling on your meeting.

BOARD MEETINGS

Board meetings in Michigan

Open to members: your bylaws

The section on board meetings covers where a board may meet, how it is noticed and how a director joins remotely. It says nothing about members attending, so whether co-owners or members may sit in on a board meeting is for your bylaws.

MCL §450.2521

Attending waives notice

A director who attends or takes part in a meeting waives any required notice of it, unless the director objects to the meeting or to its business at the beginning, or on arriving, and then does not vote for or assent to anything done there.

MCL §450.2521(2)

Incorporated association

Michigan Nonprofit Corporation Act

NoticeThe ruleSection
Board meetingNo day count in the statuteThe act counts no days. A board may hold a regular meeting with or without notice as the bylaws prescribe, and a special meeting after the notice the bylaws prescribe. Unless the bylaws require it, the notice does not have to state the business or the purpose of the meeting.MCL §450.2521(2)

MINUTES AND RECORDS

Minutes and records in Michigan

Five business days

A member of record may inspect the membership list and the other books and records during regular business hours for a proper purpose, on a written demand that describes the purpose and the records with reasonable particularity and is delivered to the registered office or principal place of business. If the corporation does not permit the inspection within 5 business days after it receives the demand, or attaches unreasonable conditions, the member may ask the circuit court to compel it.

MCL §450.2487(2), (3)

Financial statements on request

On a member’s written request the corporation mails its balance sheet as of the end of the preceding fiscal year and its statement of income for that year.

MCL §450.2487(1)

Condominium books

In a condominium, the books, records, contracts and financial statements concerning the administration and operation of the project are available for examination by any co-owner, and by the co-owners’ mortgagees, at convenient times. The bylaws have to provide that the association prepares a financial statement and distributes it to each owner at least once a year.

MCL §559.157(1); §559.154(5)

Condominium audit or review

A condominium association with annual revenues above $20,000 has its books, records and financial statements independently audited or reviewed each year by a certified public accountant. The co-owners may opt out for a year by an affirmative vote of a majority of the members, by any means the bylaws permit.

MCL §559.157(2), (3)

PROXIES AND QUORUM

Proxies and quorum in Michigan

A majority, unless your documents say otherwise

Unless the articles, a bylaw the members adopted or the act sets a greater or lesser number, members entitled to cast a majority of the votes at a meeting are a quorum. If members leave and the room drops below a quorum, those still present in person or by proxy may go on doing business until adjournment.

MCL §450.2415(1)

A proxy lasts three years

Unless a statute, the articles or a member-adopted bylaw provides otherwise, a member entitled to vote may authorize another person to act by proxy. A proxy is not valid after three years from its date unless the proxy itself provides otherwise. It may be granted in a signed writing or by an electronic transmission that shows the member authorized it.

MCL §450.2421(1), (2), (5)

Adjourned meetings

When a members meeting is adjourned to another time or place, no new notice is needed, unless the bylaws require one, if the new time and place are announced at the meeting. Without a new notice, only business that could have been done at the original meeting may be done at the adjourned one.

MCL §450.2404(4), (5)

REMOTE MEETINGS

Meeting by phone or screen in Michigan

Members may attend remotely

Unless the articles or bylaws restrict it, a member or proxy holder may take part in a members meeting by conference telephone or other remote communication that lets everyone taking part communicate with everyone else, and that counts as presence in person. Unless restricted the same way, the board may hold a members meeting solely by remote communication.

MCL §450.2405(1), (2), (3)

What a remote vote needs

For members attending remotely to be counted present and to vote, the corporation takes reasonable measures to verify that each one is a member or proxy holder, gives each a reasonable opportunity to participate and vote, including to read or hear the proceedings substantially as they happen, and keeps a record of any vote or other action taken remotely.

MCL §450.2405(4)

Directors may join remotely

Unless the articles or bylaws restrict it, a director or a member of a board committee may take part in a meeting by conference telephone or other remote communication if everyone taking part can communicate with the others. That counts as attending in person.

MCL §450.2521(3)

QUESTIONS

Michigan board questions, answered

How much notice does a Michigan association have to give for the annual meeting?

Written notice of the time, the place if there is one, and the purposes of a members meeting goes to each member of record entitled to vote not less than 10 or more than 60 days before the meeting. An association incorporated as a Michigan nonprofit takes this window from the Nonprofit Corporation Act, and where members may attend remotely the notice also has to describe how. For a meeting on Dec 1, 2026, that puts the notice between oct 2 and nov 21, 2026. That is arithmetic on the statute, not a ruling on your meeting. MCL §450.2404(1), (7). Does governance.center tell us our Michigan meeting was properly noticed?

No, and it never will. We show you the statute, the date the arithmetic produces and the section it came from, so your board and your attorney can check our work. Your bylaws may set a longer period than the state does, and where they do, the bylaws govern. We never tell a board that it is compliant.
